1. Introduction
These Terms and Conditions ("Terms") govern the provision of services by Treat On This, a company registered in England and Wales (Company Registration No. 14897232), with its registered office at 86-90 Paul Street, London EC2A 4NE ("we", "us", "our", or "Treat On This").
By engaging our services, you ("Client") agree to be bound by these Terms. Please read them carefully before placing an order or entering into any agreement with us. If you do not accept these Terms, you should not use our services.

2. Our Services
Treat On This provides professional creative services to clients operating in the film, television, advertising, photography, and wider creative industries. Our services include, but are not limited to:
Film treatment writing and ghostwriting
Visual research and image sourcing
Pitch deck design and production
Creative campaign development
Company and director profiles
Subscription and retainer-based ongoing support
The specific scope of services for each engagement will be agreed in writing prior to commencement of work, either via email, a project brief, a statement of work, or a subscription agreement.

3. Engagement and Orders

3.1 Project-Based Engagements
A project engagement begins when both parties have agreed in writing to the scope of work, deliverables, timeline, and fee. This agreement may take the form of an email exchange, a signed proposal, or an invoice accepted by the Client.

3.2 Subscriptions and Retainers
Subscription and retainer plans are offered on terms agreed at the point of sign-up. These plans provide prioritised, ongoing access to Treat On This services at a flat fee agreed in advance. Subscription plans may be paused or cancelled in accordance with the terms set out at the point of purchase, subject to the notice period agreed.

3.3 Accuracy of Briefs
The Client is responsible for providing accurate, complete, and timely briefs and materials. Treat On This accepts no liability for delays or unsatisfactory outcomes arising from incomplete or incorrect information provided by the Client.

4. Fees and Payment

4.1 Pricing
All fees are agreed in advance and set out in a project proposal, invoice, or subscription agreement. Treat On This operates at its own discretion with regard to working hours. As a general principle, we place no restrictions on when work is carried out and do not apply surcharges for weekend, evening, or rapid-turnaround work. Any exceptions to this will be stated explicitly in the project agreement.

4.2 Advance Payment
New clients and large-scale project-based engagements are subject to an advance payment of 50% of the total agreed fee prior to commencement of work. The remaining balance is due upon delivery of the final files, or as otherwise agreed. Treat On This reserves the right to determine what constitutes a large-scale engagement at its reasonable discretion.

4.3 Currency
All fees are quoted and invoiced in Pounds Sterling (GBP) unless otherwise agreed in writing. Treat On This accepts no responsibility for fluctuations in exchange rates or any costs incurred by the Client in converting payments to GBP. Any bank transfer fees, transaction charges, or intermediary fees levied by the Client's bank or payment provider are the Client's responsibility and must not be deducted from the invoiced amount.

4.4 Invoicing
Invoices will be issued in accordance with the agreed payment schedule. For subscription and retainer arrangements, invoicing terms will be set out at the point of sign-up.

4.5 Payment Terms
Payment is due within the number of days stated on the invoice from the date of issue. Treat On This reserves the right to withhold delivery of final files until payment has been received in full.

4.6 Late Payment
In the event of late payment, Treat On This reserves the right to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, at a rate of 8% above the Bank of England base rate. We also reserve the right to suspend work on active projects until outstanding invoices are settled.

4.7 Disputed Invoices
If the Client disputes any invoice, they must notify Treat On This in writing within 7 days of the invoice date, setting out the grounds for dispute. Any undisputed portion of an invoice remains due for payment on the original terms.

5. Revisions and Amendments
The number of revision rounds included in a project will be stated in the agreed scope of work. Requests for revisions beyond the agreed scope may be subject to additional charges, which will be communicated to the Client before additional work begins.
Amendments to the agreed scope or brief may affect the delivery timeline and/or fee. Any such changes will be agreed in writing between both parties before they are implemented.

6. Delivery and Timelines
Treat On This will use reasonable endeavours to meet agreed delivery timelines. Delivery dates are estimates and may be affected by factors outside our control, including but not limited to delayed receipt of materials, briefs, or approvals from the Client.
Where a deadline is commercially critical, the Client should make this clear at the point of briefing. Treat On This will confirm whether the deadline is achievable before work commences.

7. Confidentiality and Non-Disclosure

7.1 General Confidentiality
Treat On This treats all client enquiries and project information with care and discretion. As a matter of professional practice, we do not voluntarily share or disclose client information to third parties outside of what is necessary to deliver the agreed services. Likewise, the Client agrees to treat as confidential any proprietary processes, methods, or materials developed or shared by Treat On This in the course of an engagement.
It should be noted that general confidentiality is a professional commitment and not a legally enforceable obligation in the absence of a signed agreement. Clients requiring formal legal protection should refer to Section 7.2 below.

7.2 Non-Disclosure Agreements (NDAs)
Legally binding non-disclosure obligations arise only where both parties have signed a formal Non-Disclosure Agreement prior to the commencement of work. In the absence of a signed NDA, Treat On This cannot be held legally liable for the inadvertent disclosure of information, provided we have acted with reasonable professional care.
If the Client requires an NDA, this must be raised and agreed before any project materials or confidential information are shared. Treat On This is willing to enter into NDAs on a case-by-case basis.

7.3 External Contractors
Treat On This may engage external contractors or freelancers to assist in the delivery of services. Where a project is not subject to a signed NDA, Treat On This operates under its general confidentiality practices but cannot be held responsible for any breach of confidence caused by an external contractor acting independently and outside of our reasonable control.
Where a project is subject to a signed NDA, any external contractor engaged by Treat On This will be required to enter into a corresponding confidentiality agreement. In the event that an external contractor breaches such an agreement, liability for any resulting damages shall rest with that contractor, where it can be demonstrated that the breach was caused by their actions. Treat On This will take reasonable steps to cooperate with the Client in pursuing any such claim.

8. Data Protection and Security

8.1 UK GDPR Compliance
Treat On This handles personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We will only process personal data provided by the Client to the extent necessary to deliver the agreed services, and will not retain it beyond what is reasonably required.

8.2 Security Measures
We take reasonable technical and organisational measures to protect project files and client data stored digitally, consistent with Article 32 of the UK GDPR. These measures include, but are not limited to, use of password-protected systems, secure file transfer practices, and limiting access to project materials to those directly involved in the work.

8.3 Limitation of Liability for Security Incidents
Whilst Treat On This applies due diligence to protect data in our care, we cannot guarantee absolute security against all forms of cyberattack, hacking, or data breach. In the event that a third-party attack or incident outside our reasonable control results in the loss or disclosure of project files or client data, Treat On This accepts no liability and no compensation will be offered in respect of such an event.
Clients with specific data security requirements are encouraged to raise these at the point of briefing so that appropriate measures can be discussed and agreed.

9. Intellectual Property

9.1 Client Ownership
Upon receipt of full payment, the Client is granted full ownership of the final deliverables produced by Treat On This for that specific engagement, including all written content and design files, unless otherwise agreed in writing.

9.2 Underlying Rights
Any pre-existing intellectual property, tools, templates, or methodologies developed by Treat On This and used in the delivery of services remain the property of Treat On This. The Client is granted a licence to use the deliverables in which these may be embedded, but does not acquire ownership of the underlying materials themselves.

9.3 Visual and Image Materials
Unless otherwise specified in writing, all images, visual materials, video references, and other visual assets sourced by Treat On This and included within deliverables are provided for presentation and creative development purposes only. This includes use within film treatments, pitch decks, presentations, lookbooks, and related creative development materials.
Such materials are not cleared, licensed, or approved for production use. The Client accepts that sourced visual materials may be subject to third-party copyright and must not be reproduced, published, or used in any production context without obtaining the appropriate licences independently. Treat On This accepts no liability for any unauthorised use of sourced materials beyond the presentation and development context for which they were supplied.

9.4 Fonts, Graphic Assets, and Design Elements
Treat On This takes reasonable care to ensure that fonts, graphic assets, icons, and design elements used in deliverables are either open source, freely available for commercial use, or originally created by Treat On This. However, we make no formal warranty to this effect. Where such assets are incorporated without our knowledge of a licensing restriction, Treat On This accepts no liability for any resulting claim.
The Client is responsible for verifying the licensing status of all design assets prior to any production or commercial use of the delivered materials. We recommend independent clearance of all assets before any deliverable proceeds beyond the pitch or development stage.

9.5 AI-Generated Content
Where AI-generated content or imagery is used in deliverables, Treat On This will disclose this to the Client. The Client is responsible for assessing the suitability and any licensing implications of AI-generated content for their specific use case.

9.6 Portfolio Use
Unless otherwise agreed in writing, Treat On This reserves the right to include completed work in our portfolio and to reference the Client relationship in promotional materials, subject to any confidentiality obligations.

10. Warranties and Liability

10.1 Our Warranties
Treat On This warrants that services will be performed with reasonable skill and care, and that we have the right to provide the services and grant the rights set out in these Terms.

10.2 Limitation of Liability
To the maximum extent permitted by law, Treat On This shall not be liable for any indirect, consequential, or special loss or damage arising out of or in connection with the provision of services, including but not limited to loss of profit, loss of business, or loss of data.
Our total liability to the Client in respect of any claim shall not exceed the total fees paid by the Client for the specific project or subscription period giving rise to the claim.

10.3 Third-Party Outcomes
Treat On This makes no warranty or representation that the use of our deliverables will result in winning a pitch, securing funding, or any other specific commercial outcome. We will always apply our best professional judgement and effort to each engagement.

10.4 Indemnification
The Client agrees to indemnify, defend, and hold harmless Treat On This, its directors, contractors, and representatives from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) the Client's use of deliverables beyond the scope permitted under these Terms; (b) any production or commercial use of visual materials, fonts, or assets that have not been independently cleared by the Client; or (c) any breach by the Client of their obligations under these Terms.
This indemnification obligation shall survive the termination or completion of any engagement.

11. Client Delays and Project Abandonment
Treat On This requires reasonable cooperation and timely responses from the Client in order to deliver work effectively. Where a project is delayed due to the Client failing to provide briefs, materials, approvals, or feedback within an agreed or reasonable timeframe, Treat On This reserves the right to reschedule the work and cannot guarantee the original delivery date will be maintained.
If a Client becomes unresponsive or fails to progress a project for a period of 30 days or more without prior agreement, Treat On This may treat the project as abandoned. In such circumstances, any fees due for work completed up to that point will remain payable in full, and any advance payment received will be retained. Treat On This will make reasonable attempts to contact the Client before treating a project as abandoned.
Should the Client wish to resume an abandoned project, recommencement will be subject to availability and may be treated as a new engagement, with fees to be agreed at that time.

12. Cancellation
If the Client wishes to cancel a project after work has commenced, they must notify Treat On This in writing. In such cases, the Client will be liable for fees proportional to the work completed at the point of cancellation, plus any non-recoverable costs incurred. Any advance payment made will be applied against this amount and is non-refundable where work has already begun.
Treat On This reserves the right to withdraw from a project if the Client acts in breach of these Terms, fails to make payment, or behaves in a manner that makes continued collaboration unreasonable. In such circumstances, fees for work completed will remain due.

13. Governing Law
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms
Treat On This reserves the right to update these Terms from time to time. Any changes will be published on our website and, where material, communicated to active clients. Your continued engagement with our services following any update constitutes acceptance of the revised Terms.
